Can't umount /proc

Searched but could not find the answer.
RH6.1, upgraded from 2.4.17 to 2.4.19 and upon shutdown received:

No automatic removal. Please use umount /proc

Proc was still busy for some reason??? Please CC as I'm no longer
subscribed to the list.
