Help required: GPF in RHL 5.1 (2.0.35) when upgraded from P200 to PII-350

I've seen postings on similar problems earlier, but could not find any of
those in my archives or from those of newsgroups. Some posting in
newsgroups suggest a cooling problem for the processor. Is that so?

We upgraded our server from Pentium 200 to PII 350.
(The 64MB RAM is now SDRAM as thats what PII supports).

All other things are same, except that one of the devices connected to a
serial port is not functioning now.

The problem we face is that the kernel gives a GPF sometimes (with an
interval ranging from 1 hour to 3 hrs) and all processes gets killed.
The hardware seems not to be hung/locked as the 'Num-Lock' etc responds,
although 'Ctrl-Alt-Del' fails. A hard reset is always required.

Any help/hint will be greatly appreciated.
